Frequently asked questions

Answers to the most frequently asked questions about M&A Tax & Legal.

What does M&A Tax & Legal include?

It includes tax and legal support for acquisitions, disposals, investments, mergers and restructurings.

Services may include due diligence, structuring, financing, management participation, transaction documents, negotiation, closing and post-deal implementation.

When should advisers become involved?

Preferably before price, structure and exclusivity are fixed.

Early involvement prevents tax or legal limitations from emerging only after the letter of intent has been signed.

What is tax due diligence?

It reviews historic and current tax positions and identifies exposures and opportunities relevant to the transaction.

What is legal due diligence?

It reviews ownership, corporate structure, contracts, employees, intellectual property, permits, compliance and disputes.

What is the difference between a share and asset deal?

A share deal transfers the target company with its history and obligations.

An asset deal transfers selected assets, liabilities and activities and may require individual transfers and consents.

When is vendor due diligence useful?

It is particularly useful for complex or competitive sale processes.

It allows the seller to identify and explain issues before several purchasers conduct separate reviews.

How can due diligence affect price?

Findings may result in price adjustments, deferred consideration, escrow, indemnities or other protection.

The response depends on the probability, size and contractual allocation of the risk.

What is a locked box?

It is a price mechanism based on a historic balance-sheet date, generally combined with protections against leakage before closing.

What are completion accounts?

They adjust the purchase price after closing by reference to actual debt, cash, working capital or other agreed items at closing.

What are tax warranties?

They are statements by the seller concerning the target’s tax position.

What is a tax indemnity?

It allocates a known or specific tax exposure to a party, commonly the seller.

What is a tax covenant?

It allocates responsibility for pre- and post-closing taxes and establishes procedures for returns, audits and claims.

What is a disclosure letter?

It identifies exceptions to warranties and provides the buyer with relevant information on disclosed matters.

What is management rollover?

Management or sellers reinvest part of their proceeds into the new ownership structure.

How is management participation structured?

Potential instruments include shares, depositary receipts, options and loans.

The structure must address tax, risk, return, leaver provisions, dilution and exit.

Can acquisition interest always be deducted?

No. Deduction can be restricted by the structure, tax legislation and the terms of the funding.

Can the buyer use the target’s tax losses?

Possibly, but the losses may be subject to legal and economic limitations.

What happens to Dutch fiscal unities?

The target may leave an existing tax group or join a new one.

This can affect filings, historic liabilities, intragroup transactions and tax attributes.

What employment issues arise?

Relevant issues include transfer of undertaking, contracts, pension, bonuses, contractors, works-council rights, management and possible restructuring.

What happens after closing?

The new group must implement governance, registrations, tax compliance, payroll, transfer pricing, financing, contracts and integration measures.
